The following Terms and Conditions of Service apply to all services provided by ShaCa Gurus®, LLC (“ShaCa Gurus®”). By accepting an estimate, paying an invoice, or using ShaCa Gurus®’ services, the client agrees to these Terms and Conditions. If the client has signed a separate written agreement with ShaCa Gurus®, that agreement controls wherever it conflicts with these terms.
At the time of proposal, ShaCa Gurus® will provide the client with an estimate after completion of the initial consultation. Clients have 30 days to accept their estimate. After 30 days, the estimate expires and the client will need to request a new estimate of work, which may reflect updated pricing.
After the estimate is accepted by the client, ShaCa Gurus® will provide the client with an invoice for the work. The client has 30 days to pay the deposit on their invoice to begin the work. After 30 days, the invoice will expire and the client will need to request a new estimate of work.
The accepted estimate defines the scope of the project. Anything not listed in the estimate is outside the scope and requires a change order, as described under Timeframe & Delivery.
The client will provide the content, images, logins, feedback, and approvals that ShaCa Gurus® needs to complete the project, and will name one point of contact who is authorized to give feedback and approvals. Unless listed in the estimate, copywriting, photography, logo design, and other content creation are not included.
Turnaround times are typically 4-6 weeks for basic websites (4 pages). The client will receive an invoice with a target time frame of project completion. This time frame is an estimate, not a guarantee, and applies only if the deposit is received within one week of acceptance and ALL required content is provided in a timely manner. Delays in receiving content, feedback, or approvals from the client will extend the time frame by at least the length of the delay, and the project may need to be rescheduled around other work. If the client has a specific deadline, rush service may be available for an additional fee. If ShaCa Gurus® is experiencing higher work volumes, the project will be scheduled for the soonest available time slot, and the client will be notified at the earliest possible time.
ShaCa Gurus® will provide concepts and 2 rounds of revisions to clients within the timeframes agreed upon in initial consultations. A round of revisions is one consolidated list of changes to the work presented, sent by the client in writing. Additional rounds of revisions, and any work outside the scope of the accepted estimate (such as added pages, features, or functionality), require a written change order. ShaCa Gurus® will provide a separate quote for the additional work. The client must approve the quote and pay a non-refundable deposit of 50% of the quoted amount before that work begins, and the remainder is due on the same terms as the original estimate. A change order may extend the project time frame. ShaCa Gurus® may decline requests for additional work.
The client will be provided with a finalized solution. Upon client approval, the remainder of the amount due will become payable. Project invoices, including deposits, are paid through PayPal using the payment methods shown on the invoice. Domain, hosting, business email, and maintenance plan payments are made through ShaCa Gurus®’ online checkout (Stripe). Publication or release of work done by ShaCa Gurus® on behalf of the client may not take place before cleared funds have been received. Once payment has been made, the site will be published within 48 hours, provided the client has supplied any account access needed to publish (such as domain or hosting logins). Payments are non-refundable unless ShaCa Gurus® agrees otherwise in writing.
Charges for technical services to be provided by ShaCa Gurus® will be set out in the written estimate or quotation that is provided to the client. At the time of the client’s acceptance of this estimate or quotation, indicating acceptance of the Terms & Conditions, a non-refundable deposit of 50% of the quoted fee will become immediately due. Work on the solution will not commence until ShaCa Gurus® has received this amount.
Hourly work will be rounded up to the nearest hour. Deposits for hourly work will be half of the total hourly estimate. Hourly work is billed at the hourly rate stated in the estimate.
Third-party costs such as platform subscriptions, premium plugins or themes, stock images, and fonts are the client’s responsibility unless the estimate or the plan description states that they are included.
ShaCa Gurus® does not charge late fees. If an invoice is not paid by its due date, ShaCa Gurus® may pause work and may suspend or terminate the related services until the balance is paid.
Domain registrations, hosting plans, business email plans, and maintenance plans that are purchased through ShaCa Gurus®’ online checkout (Stripe) renew automatically. At the end of each monthly or yearly term, the payment method on file is charged the then-current price for a new term of the same length, and this continues until the service is canceled. By providing a payment method for one of these services, the client authorizes these recurring charges.
To cancel a service or turn off automatic renewal before the renewal date, sign in to the Stripe customer portal at https://billing.stripe.com/p/login/fZe8Aha3DgwL8TucMM with the email address used at signup, or email customerservice@shacagurus.com. Services paid by any other method do not renew automatically and must be renewed by the client before the end of the term.

Yearly registration costs are due immediately and need to be renewed at the end of the registration term. Registration and renewal fees are non-refundable. Domains will become unreachable if they are not renewed by the end of the registration term, which means any website or email using the domain will stop working. An expired domain may be released for registration by others, and recovering it, where possible, may involve additional registry fees.
Yearly and monthly service costs are due immediately and need to be renewed at the end of the service term. Plan fees are non-refundable and are not prorated. Yearly service plans will be terminated if they are not renewed within 15 days after the end of the service term. Monthly service plans will be terminated if they are not renewed within 5 days after the end of the service term. This includes plans on automatic renewal when the renewal payment fails. When a hosting or business email plan is terminated, the website or mailboxes will be taken offline, and the related files, data, and backups may be permanently deleted. Clients who want a copy of their data must request it before the plan is terminated. ShaCa Gurus® may change plan pricing at renewal and will give at least 30 days’ notice of any change.
What each maintenance plan includes is described at shacagurus.com/maintenance. Service requests under the website maintenance plan do not include page layout rearrangements, page additions, or other website design changes or enhancements. They are limited to the maintenance and modifications of existing media and content for the website. Requests outside the plan will be quoted separately as a written change order. Updates (such as blog, product, or coupon updates) are limited to 5 per month; unused monthly updates do not roll over to the next month. Product and coupon updates require the Premium maintenance plan. Content for updates must be provided by the client.
Maintenance plans, whether monthly or yearly, can be canceled at any time through the Stripe customer portal or by emailing customerservice@shacagurus.com with a cancellation request. Cancellation takes effect at the end of the current paid term, and no refunds are given.
ShaCa Gurus® provides a thirty (30) day warranty period from the day the website goes live to make sure the website meets the client’s originally agreed upon specifications. During this period, ShaCa Gurus® will correct, at no charge, errors in its own work that cause the website not to meet those specifications. The warranty does not cover new features, design changes, or content updates. It also does not cover problems caused by changes made by the client or a third party, or by third-party platforms, plugins, themes, or hosting.
ShaCa Gurus® does not guarantee that services provided and projects delivered will result in business growth or enhanced exposure for the client. SEO optimizations are limited to the client’s site being indexed and visible through a specific Google search; ShaCa Gurus® does not guarantee any search ranking or placement.
A project shall be considered abandoned after 30 consecutive days have passed since the last productive communication received from the client. Productive communication means the client providing the content, feedback, approval, or payment that ShaCa Gurus® has requested in order to move the project forward; a reply that does not provide what was requested does not restart the 30 days. ShaCa Gurus® will notify the client by email before closing an abandoned project. In all abandoned projects, deposits and any other payments made are forfeited without an option for reclamation, and the client receives no rights to unfinished work. Any renewal of the project after termination will require a new agreement and deposit at ShaCa Gurus®’ then-current pricing and availability.
Once the project is paid in full, the client owns the finished website and the content created specifically for the client. Until then, all work remains the property of ShaCa Gurus®. ShaCa Gurus® keeps ownership of its own templates, tools, and methods, which it may reuse for other clients. Third-party items such as platforms, themes, plugins, fonts, and stock media remain subject to their own licenses.
The client agrees that ShaCa Gurus® holds no responsibility for any changes made by any third party, before or after a website is delivered. ShaCa Gurus® is not responsible for outages, errors, security incidents, or changes in features, pricing, or policies of third-party providers such as website platforms, plugin and theme developers, hosting companies, domain registrars, email providers, and payment processors.
The client guarantees that they have legal rights to all elements of text, photographs, and anything else that they provide ShaCa Gurus® with, and will indemnify and hold ShaCa Gurus® harmless from any third-party claims arising from those materials.
The client is responsible for the legal compliance of its website and business, including privacy policies, terms of use, accessibility, and any industry-specific requirements, unless a specific compliance service is listed in the estimate.
To the fullest extent permitted by law, ShaCa Gurus® excludes itself from all and any liability from:
The entire liability of ShaCa Gurus® to the client in respect of any claim whatsoever or breach of these terms and conditions, whether or not arising out of negligence, shall be limited to the charges paid for the services under these terms and conditions in respect of which the breach has arisen.
During the completion of the project and afterward, ShaCa Gurus® will use reasonable care to prevent the unauthorized use or dissemination of the client’s confidential information. Confidential information is limited to information clearly marked as confidential, plus any logins, passwords, and account access the client provides.
Confidential information does not include information that: ShaCa Gurus® knew before the client disclosed it; is or becomes public knowledge through no fault of ShaCa Gurus®; ShaCa Gurus® obtains from sources other than the client, who owe no duty of confidentiality to the client; or ShaCa Gurus® develops independently.
ShaCa Gurus® is entitled to place accreditation, as a hyperlink, in the footer on each page of the final solution. ShaCa Gurus® retains the right to reproduce, publish and display the solution on portfolios and websites, in galleries, design periodicals and other media or exhibits for the purposes of recognition of creative excellence or professional advancement, and to be credited with authorship of the works in connection with such uses.
These terms and conditions shall be governed by the laws of the Commonwealth of Virginia. Any legal action relating to these terms or to ShaCa Gurus®’ services will be brought in the state or federal courts located in Virginia.
ShaCa Gurus® may update these Terms and Conditions from time to time. The version in effect when an estimate is accepted applies to that project; recurring services are governed by the version posted at shacagurus.com at the time of each renewal. Notices, reminders, and invoices are sent to the client’s email address on file, and the client is responsible for keeping that address current.
